Refund Policy

Refund Policy

This Refund Policy explains when fees paid to Offer Ready Capital, LLC ("ORC") are refundable, and under what circumstances. Please read it before making any payment. By paying any fee to ORC, you confirm that you have read and agree to this policy.

  1. YOU PAY NOTHING TO APPLY


There is no application fee. ORC charges nothing to receive your submission, review your contract, or underwrite your deal.

If ORC declines to fund your transaction, for any reason, you owe ORC nothing. There is no fee to refund, because no fee was ever charged.

  1. ORC CHARGES TWO FEES, AND BOTH ARE DUE AT THE SAME TIME


Both fees become due only when ORC approves your transaction and you accept the term sheet. Neither is charged before that point.


Approval Fee. Due on acceptance of the term sheet. Covers deal review, underwriting, and formation of the funding entity.


Funding Fee. Due on acceptance of the term sheet. The premium for the option granted to you, and for ORC funding the earnest money deposit into escrow.


Extension Fee. Due before an extension takes effect. The premium for extending the option period.

Fee amounts are set out on ORC's pricing page and are stated as fixed dollar figures on your term sheet. The figure on your term sheet does not accrue, does not re-price, and does not change after you sign.


If you pay by credit card, Melio charges a processing fee on the transaction. That fee is charged to you by Melio, is additional to ORC's fees, and is not paid to or retained by ORC. You can avoid it by paying by ACH, wire, or Zelle.


  1. WHAT YOU ARE BUYING


ORC forms a limited liability company for your transaction. That entity enters into the purchase agreement and funds 100% of the earnest money deposit into escrow. ORC then grants you an option to acquire the entity by replacing ORC's deposit at closing.

You are never obligated to exercise that option. You are never liable for the deposit principal. Your fees are the entirety of your financial exposure to ORC.

The earnest money deposit funded by ORC is a SOFT deposit and is fully refundable to ORC (not to Borrower) during the due diligence period. When a Borrower elects to exit a transaction during the due diligence period:


  • The full EMD amount is returned from escrow directly to ORC;


  • Borrower's obligation to repay the EMD amount is released upon ORC's receipt of the returned funds;


  • Borrower remains responsible for all ORC fees paid (application fee and EMD fee), which are not refunded;


  • Borrower must notify ORC in writing at deals@offerreadycapital.com before directing the title company to release the deposit.

The Approval Fee is earned when the term sheet is accepted and the funding entity is formed. That work has been performed and cannot be undone.

The Funding Fee is earned when ORC wires the deposit to escrow. If ORC never wires, ORC never earned it, and it is returned to you in full.

  1. WHEN FEES ARE NOT REFUNDED


Once ORC has wired the deposit to escrow, both fees are earned and are not refundable. This is true regardless of what happens afterwards:

▪   You decide not to proceed and exit during the diligence period.

▪   The deposit is returned from escrow to ORC.

▪   The transaction does not close, for any reason.

▪   You do not exercise your option.

▪   The diligence window closes without an extension and ORC terminates the contract.


In each of these cases you owe ORC nothing further. Your fees are not returned, and nothing else is owed.

Preliminary title fees, escrow fees, and any other title-related charges are assessed by the title company, are paid directly to the title company, and are governed by the title company's own terms. ORC has no authority to refund or waive them. ORC's pricing page and calculator reflect ORC fees only.

ORC does not issue checks, prepaid cards, or any other form of payment. ORC will confirm any refund in writing by email to the address on file.

Where a refund is due, ORC returns funds by the same method used for payment:


▪   ACH. Returned to the originating account. 3 to 5 business days.

▪   Wire. Returned to the originating account. 3 to 5 business days after you confirm return instructions.

▪   Zelle. Returned to the originating account. 1 to 3 business days.



ORC does not issue checks, prepaid cards, or any other form of payment. ORC will confirm any refund in writing by email to the address on file.

Where a refund is due and you paid by credit card, ORC returns the fees ORC received. Melio's processing fee was paid to Melio, not to ORC, and ORC has no ability to refund it.

If you want your fees to be fully refundable in the situations described in Section 4, pay by ACH, wire, or Zelle.

  1. DISPUTES


Any dispute regarding a refund that is not resolved through ORC's internal process shall be resolved by binding arbitration in accordance with the Dispute Resolution provisions of ORC's Terms of Use. You agree that any arbitration shall be conducted on an individual basis and not as a class action.



  1. POLICY CHANGES


ORC reserves the right to modify this Refund Policy at any time. Changes are effective when posted at here The policy in effect at the time you pay a fee governs that payment.
